Job Description: 

The Investment Associate (“Associate”) is required to conduct in-depth financial appraisals and analysis of potential investments including financial statements and projections. The Associate shall carry out his/her duties in accordance with company guideline, report to the Chief Investment Officer (CIO) and participate as an active member of the Investment team. The Associate will be based in Gaborone, Botswana

Duties

The Investment Associate’s duties and responsibilities include, but are not limited to the following:

1. Investment Duties:

• Lead or second role in a multifunctional due diligence/ transaction team comprising of Chief Investment Officer, Chief Executive Officer, Investment Director, Social and Environmental Officers, consultants, lawyers etc.
• Independently assess client financial eligibility and risk assessment
• Detailed appraisal of financial information on transactions and potential investments based on but not limited to business proposal, site visits, research and desk analysis.
• Preparation of sound and appropriate financial projections including ratio and sensitivity analysis, in-line with the deal structure.
• Support in transaction structuring, deal development and packaging transactions.
• Lead or second role in the drafting of term sheets to the prospective clients with co-financiers, co-investors and other relevant stakeholders, where applicable.
• Lead or second role in preparation of transaction documentation for approval by internal committees, Management and the Investment Committee.
• Lead or second role in managing the engagement of legal experts for preparing legal loan documentation, shareholder agreements and reviewing and validating the legal agreements and negotiating with clients.
• Assist in the preparation of investment rescheduling and restructuring proposals
• Assume a leading role in guiding and assisting the analysts including the review of their output.
• Support the analysts and the broader investment team in analysing the accounting aspects of transactions including the review of financial statements, forecasts and financial models.

 

2. Investment Disbursement Facilitation:

• Prepare draft Investment, Loan Agreements and Shareholder Agreements.
• Manage the preparation and registration of security documentation with lawyers.
• Review of security documentation.
• Review and Process disbursement requests on approved investments.
• Compilation of Conditions Precedent and perfecting of security.

 

3.Marketing Duties:

• Communicate Thusano’s products and services to all stakeholders including potential clients, co-financiers and financial intermediaries.
• Perform an active role in the sourcing of transactions.
• Undertake sectoral and country research to identify potential financing opportunities for Thusano and deepen the knowledge on sectors/ countries reviewed.
• Maintain the dealflow pipeline database
• In the absence of Chief Investment Officer, Chief Executive Officer and Investment Directors, attend to investment and financing enquiries from prospective clients including telephone, written and walk-in inquiries.

 

4.Research:

• Manage information and update company databases on economic, social and legal developments in the Southern Africa region.
• Monitor economic, industrial and corporate developments through the analysis of information obtained from financial publications, financial institutions, government agencies and other sources.
• Maintain knowledge and stay abreast of developments in the fields of infrastructure, industry, business, finance and economic theory

 

5. Other

• Assist in the preparation of Thusano support material such as brochures, newsletters, annual reports, etc.
• Assist in the preparation/revision of investment related materials such as appraisal procedures and manual.
• Supervision and development of more junior investment team members.
• Maintenance/Management of Investee Company files.
• Any other duties as the CIO and/or CEO might assign.
