The African Trade Insurance Agency (commonly known as African Trade & Investment Development Insurance – ATIDI) was founded in 2001 by African States to cover trade and investment risks of companies doing business in Africa. The organization notably provides Political Risk, Credit Insurance and Surety Insurance. Since inception, ATIDI has supported USD88 billion worth of investments and cross border trade into Africa. It is rated A/Stable by Standard & Poor’s and A2/Stable by Moody’s, which reflects the organization’s robust financial position and strong risk management practices. In recognition of its growing impact, ATIDI was named the Development Finance Institution (DFI) of the Year at the 2025 African Banker Awards.

The INED will be expected to:

• Actively participate in the deliberations and decision making of the Board of Directors, in line with ATIDI’s policies, procedures and regulations;
• Provide strategic, financial, risk management and other expertise relevant to ATIDI’s activities;
• Fulfill a fiduciary duty to ATIDI’s shareholders and advance good corporate governance;
• Contribute to the effective functioning of the Board of Directors;
• Contribute to enhancing the reputation and profile of ATIDI;
• Serve for a term of 3 years renewable once at the discretion of ATIDI’s General Meeting of Shareholders.

Qualification and other relevant criteria:

The successful candidate will have a combination of the following characteristics:

• Must have a recognised professional qualification (e.g., CA, CFA, ACCA, or equivalent) (Required);
• Have international recognized qualification with a Masters degree (Masters degree is an added advantage);
• Have extensive and senior level practical experience in at least one of the following fields: insurance; trade finance and banking, commercial law, economics; or in such other field deemed relevant;
• Have IT analytical skills and credit skills; these will be considered highly advantageous.
• Have previous experience as a board member (ideally as an independent board member);
• Have previous experience in a senior leadership position in the financial services sector;
• Have regional and/or continental and/or international experience and extensive knowledge of the economic and financing landscape of the African continent.

Candidates with the following characteristics will not be considered:

• Candidates convicted of any offence in which dishonesty is an element, or of any offence for which the person is sentenced to a term of imprisonment without the option of a fine; or

• Candidates who have been declared financially insolvent or bankrupt by a court of competent jurisdiction;
• Candidates with a previous employment relationship with ATIDI in the past five years;
• Candidates with a previous directorship with ATIDI in the past five years;
• Candidates with a current or recent (five years) employment relationship, directorship or shareholder relationship of another organization which is a related party (entity that is related to ATIDI by a pre-existing business relationship or common interest);
• Candidates who are close relatives of any of ATIDI’s advisers, board members or senior employees;
• Candidates who have been designated external auditors responsible for performing the statutory audit for ATIDI or a key member of the audit team of the external audit firm, during the preceding five years;
• Candidates holding cross-directorships or having significant links with other ATIDI directors through involvement in other companies or bodies;
• Candidates having significant links with any of ATIDI’s shareholders;
• Candidates who are current professional advisers to ATIDI or who have acted as professional advisers to ATIDI within the past five years.

Benefits and Contractual information:

• Serve for a term of 3 years renewable once at the discretion of ATIDI’s General Meeting of Shareholders;
• ATIDI shall offer competitive non-employment compensation to the INED that includes covering the costs of travel (where necessary) as well as an annual retainer and per diems (where necessary) for both Board and Committee meetings which the INED attends.
